1. Acceptance of These Terms

These Terms & Conditions ("Terms") govern your access to and use of the FoDiQ website and any related content, materials, documents, forms, communications, and services (collectively, the "Services").

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Services.

If you are using the Services on behalf of a company or other organization, you represent and warrant that you are authorized to accept these Terms on behalf of that entity.

2. Who We Are

"FoDiQ," "we," "us," or "our" means FoDiQ (a trade name of QSR2go Operations B.V.), a company registered and operating in the Netherlands.

3. Relationship with Proxy Foods

FoDiQ operates as the commercial distribution and implementation partner for the Proxy Foods AI platform within the European Union and Benelux markets. In this capacity:

• FoDiQ is authorized to distribute, market, and support the Proxy Foods platform and related services within the EU territory.
• Product information, AI-generated formulations, regulatory guidance, and technical content may originate from or be powered by the Proxy Foods platform.
• FoDiQ independently manages all commercial relationships, customer support, data processing, and contractual obligations within its territory.
• Intellectual property in the underlying Proxy Foods AI platform remains the property of Proxy Foods.

4. Eligibility

You must be at least 16 years old to use the Services. If you are under the legal age of majority, you may only use the Services with parental or guardian consent.

5. Use of the Services

You agree that you will NOT:

• Use the Services for any unlawful, fraudulent, infringing, or harmful purpose
• Attempt to gain unauthorized access to any systems, data, accounts, or networks
• Interfere with, disrupt, or degrade the operation, security, or performance of the Services
• Use any scraper, crawler, bot, or other automated means to access or collect data from the Services
• Reverse engineer, decompile, or attempt to derive source code from the Services

6. Accounts and Security

Some parts of the Services may require an account. You agree to provide accurate information, keep credentials confidential, notify us of unauthorized access, and accept responsibility for all activity under your account.

7. Product Information, Nutrition, Allergens, and Regulatory Status

Information published on the Services is provided for general informational and marketing purposes only.

Important: We do not guarantee that any ingredient, formulation, nutritional statement, allergen disclosure, or regulatory classification shown through the Services is complete, up to date, or appropriate for your intended use. You are solely responsible for independently validating suitability, safety, labeling, allergen status, and regulatory compliance for your specific product or use case.

8. Intellectual Property

All materials available through the Services are owned by or licensed to FoDiQ and/or Proxy Foods and are protected by Dutch, EU, and international intellectual property laws. You may view the Content for personal or internal business use only. All rights not expressly granted are reserved.

9. Feedback and Submissions

If you send us any suggestion, concept, or other material ("Feedback"), you agree that FoDiQ may use it in any way, worldwide, without compensation or obligation to you. Do not submit confidential information without a separate NDA in place.

10. Third-Party Links, Tools, and Partners

The Services may link to or integrate with third-party sites or services. We are not responsible for their content, terms, or privacy practices. Your use of third-party services is at your own risk.

11. Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICES AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND. WE DO NOT GUARANTEE THAT ANY PRODUCT INFORMATION SHOWN THROUGH THE SERVICES IS COMPLETE, CURRENT, OR APPROPRIATE FOR YOUR INTENDED USE.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, FODIQ WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. Our total cumulative liability will not exceed the greater of: (1) amounts you paid to FoDiQ in the three months before the claim; or (2) one hundred euros (€100.00).

13. Indemnification

You agree to defend, indemnify, and hold harmless FoDiQ from any claim arising out of your use of the Services, violation of these Terms, or misuse of product information obtained from the Services.

14. Termination / Suspension

We may suspend or terminate your access at any time if you violate these Terms or create risk for us. You may stop using the Services at any time.

15. Governing Law

These Terms are governed by the laws of the Netherlands. Any legal action will be brought exclusively in the courts of The Hague, the Netherlands.

16. Changes to These Terms

We may update these Terms from time to time. By continuing to use the Services after changes, you agree to the revised Terms.

18. Entire Agreement

These Terms form the entire agreement between you and FoDiQ regarding the Services, and supersede any prior understandings about the same subject.

19. Severability

If any provision is found invalid, the remaining provisions remain in full force and effect.

20. No Waiver

Our failure to enforce any right does not constitute a waiver of that right.

21. Assignment

You may not assign these Terms without our written consent. We may assign our rights and obligations without notice.
